Terms & Conditions
1. Definitions
a) Provider: Raven BV, Excelsiorlaan 16, B-1930 Zaventem, Belgium (BE0663.545.920).
b) User: Any person, consumer, or business client using the services offered by Raven BV.
c) Consumer: A natural person acting for purposes outside their trade, business, craft, or profession.
d) Business client: Any user who is not a consumer.
e) Services: Escape rooms, Virtual Reality experiences, event spaces, and party halls, including catering and decoration options offered by Raven BV.
f) Presumed payable amount: The amount the user would owe based on rates or quotations.
2. Applicability
- These terms and conditions apply to all offers and agreements between Raven BV and the user.
- The user’s general terms and conditions are only applicable if explicitly accepted in writing by Raven BV.
- By accepting an offer, these terms automatically apply to all future agreements.
3. Interpretation
- These terms and conditions are interpreted in accordance with Belgian law.
- If any provision is found to conflict with Belgian law, the remaining provisions remain in full force.
4. Payment
- Payment must be made at the completion of services or within 15 days of the invoice date, unless otherwise agreed.
- In case of late payment:
- Interest of 10% per year applies from the due date.
- A fixed penalty of €50 applies.
- If a payment is due to the user, the same interest applies after formal notice.
- Administrative payment conditions:
- A Purchase Order (PO) must be provided no later than 2 days before the scheduled event. If the PO is submitted late, after the invoice has been issued, a penalty of 1% of the invoice amount applies, with a minimum of €25 and a maximum of €150.
- Correct invoice details must be provided no later than 2 days before the scheduled event. Changes to invoice details after the invoice has been issued incur the same penalty.
- If the 15-day payment term cannot be met, the user must inform Raven in writing in advance.
- Discounts on invoices automatically expire if the invoice is overdue by more than 30 days.
5. Booking and Cancellation
- Cancellation policy:
- Small groups (up to 20 participants):
- Free cancellation up to 2 weeks before the event.
- 50% of the costs payable for cancellations 1 to 2 weeks before the event.
- 100% of the costs payable for cancellations within 1 week of the event.
- Small changes (up to 4 participants) allowed up to 48 hours prior at no extra cost.
- Medium groups (21–40 participants):
- Free cancellation up to 3 weeks before the event.
- 50% of the costs payable for cancellations 2 to 3 weeks before the event.
- 100% of the costs payable for cancellations within 2 weeks of the event.
- Large groups (more than 40 participants):
- Free cancellation up to 4 weeks before the event.
- 50% of the costs payable for cancellations 2 to 4 weeks before the event.
- 100% of the costs payable for cancellations within 2 weeks of the event.
- Small groups (up to 20 participants):
- Catering adjustments:
- Changes are free up to 2 weeks before the event.
- After this, 100% of catering costs are charged.
- Special cases:
- Cancellations due to force majeure (e.g., pandemics, natural disasters) are assessed individually.
- All changes outside the cancellation period incur an administrative fee of €25 per change.
6. Liability
- Raven is not liable for damage caused by:
- Force majeure, such as natural disasters, pandemics, power outages, defects, theft, strikes, medical conditions not previously reported by the user to Raven, or government orders.
- Raven's liability is limited to direct damage and to the maximum amount covered by the insurance policy with KBC.
- Indirect damage, such as loss of profit or reputation, is excluded.
- Claims under €200 are not accepted.
- Raven is only liable for damages caused by gross negligence or intentional misconduct.
7. Jurisdiction
- The agreement is governed by Belgian law.
- Only the courts of the district of Brussels or the justice of the peace of Zaventem have jurisdiction.
